The European Commission is now routinely assessing whether non-notifiable mergers should be referred under Article 22 TFEU. The Towercast judgment open another door for intervention under Article 102 TFEU where dominant companies use acquisitions, for example to prevent market entry. These mechanisms have caught some actors off guard and are now changing the way in which merger control risk is assessed, addressed and allocated in M&A processes. They occur against the backdrop of a discussion about concentration levels and a more interventionist mindset.
